1. Acceptance of Terms
By creating an account or using Rizzly (the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity. If you do not agree, do not use the Service.
2. The Service
Rizzly is an AI assistant for messaging platforms (Instagram, Messenger, Telegram). The Service helps you formulate replies to direct messages, comments, and story mentions on connected accounts, and provides analytics on those accounts. Suggested replies may be sent automatically or queued for your review depending on your account configuration. Features may change over time.
3. Eligibility and Account
You must be at least 18 years old to use the Service. You are responsible for keeping your credentials secure and for all activity that occurs under your account. One account per person or entity. Notify us promptly of any unauthorized access.
4. Acceptable Use
You agree not to use the Service to:
- send spam, harass, defraud, or impersonate others;
- violate Meta Platform Terms, Instagram's Community Guidelines, Telegram's Terms of Service, or any applicable law;
- evade rate limits, policy enforcement, or safety measures of any third-party platform;
- transmit unlawful, infringing, or otherwise objectionable content; or
- attempt to reverse engineer, probe, or disrupt the Service.
5. Third-Party Platforms
The Service connects to Meta (Instagram & Messenger Graph API) and Telegram (MTProto). Your use of those platforms is governed by their own terms, including Meta Platform Terms and Telegram's Terms. We are not responsible for platform outages, API changes, or policy decisions by those providers, including suspension of your connected accounts.
6. Subscriptions, Trial, and Billing
Paid plans are billed through Stripe. New customers may be offered a free trial; unless you cancel before the trial ends, your subscription will convert to a paid plan and your card will be charged. Subscriptions auto-renew at the end of each billing period until cancelled. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current period. Except where required by law, fees are non-refundable and we do not issue refunds for partial periods.
7. Your Content and AI Output
You retain ownership of the content you submit and the messages your automations send. You grant us a limited, non-exclusive license to process that content solely to operate the Service on your behalf. AI-generated replies are produced by language models and may be inaccurate, off-topic, or otherwise unsuitable. You are responsible for the content sent from your connected accounts and for reviewing automated replies as appropriate.
8. Intellectual Property
The Rizzly name, branding, website, and software are our intellectual property. You may not copy, resell, or create derivative works from the Service, except as expressly permitted in writing.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or compatible with any particular third-party platform at any given time.
10. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
11. Termination
You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, to other users, or to third-party platforms. Upon termination, your right to use the Service ends immediately. Data deletion is handled as described in our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law and Contact
These Terms are governed by the laws of the Czech Republic, without regard to its conflict-of-laws rules. The courts of the Czech Republic will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have under the law of your place of residence.
